Wintermar Offshore Marine Acquires Full Control of Fast Offshore Supply, Expanding Fast Crew Transfer Vessel Fleet

PT Wintermar Offshore Marine Tbk (WINS) has acquired full control of Fast Offshore Supply Pte Ltd (FOS) and its Indonesian subsidiary PT Fast Offshore Indonesia (FOI), a move that expands the company's footprint into the building and operation of fast aluminum crew transfer vessels (CTVs). The acquisition, announced June 24, 2026, adds five new DP CTVs under long-term charter and a shipbuilding contract for five more units, strengthening WINS' position as a leading owner and operator of DP vessels in Asia.
WINS purchased the remaining 52.5% of FOS from affiliate Seacoral Maritime Pte Ltd for US$26 million, and the 49% of FOI it did not already own from FOS for US$7 million. The transaction, which received a fairness opinion from independent appraiser KJPP Tri, Santi dan Rekan, is valued at a price-to-book ratio of 1.01% for FOS and 0.96% for FOI. WINS will finance the acquisition through internal cash and a US$20 million loan.
FOS has operated in Brunei for a decade and in 2025 won an international tender to supply five next-generation aluminum CTVs to a major oil company in Brunei, with delivery in 2027. These vessels, owned by FOS, will be chartered for an initial five-year term with extension options. Additionally, FOS secured a shipbuilding contract with the same client to build and sell five more CTVs by 2028. The 55-meter CTVs are designed for high availability and operability, featuring motion-compensated gangways, DP systems, triple bow thrusters, four CAT engines delivering 9,000 BHP, and four Hamilton HT810 waterjets for propulsion.
FOS, a specialized shipbuilder since 2008, currently owns seven fast multi-purpose aluminum vessels built at its Singapore yard. With the acquisition, WINS' high-tier fleet grows from 12 to 22 units, including the five new CTVs, while its DP fleet increases to 25 units. The average age of WINS' fleet, previously 16 years, drops to 14 years due to the influx of new vessels with long-term charters. The deal also introduces a new earnings stream from shipbuilding.
“This acquisition brings a fleet of newly built DP vessels with long-term contracts, lowering the average fleet age and providing earnings visibility,” the company stated. WINS will fully consolidate earnings from the five-year charter and shipbuilding contract, which is expected to be earnings accretive. FOI will be converted into a fully domestic Indonesian company compliant with cabotage regulations, positioning it to meet anticipated demand in Indonesia.
