SKYX Platforms Merges with Deako to Expand Smart Home and AI Platform

SKYX Platforms Corp. (NASDAQ: SKYX) has signed a merger agreement with Deako Inc., a Silicon Valley-backed smart home AI platform and intelligent lighting company, combining their plug-and-play technologies across ceiling outlets, wall outlets, and wall switches. The deal, announced via a press release available at https://ibn.fm/OMnC3, is expected to accelerate the deployment of SKYX technologies through Deako's extensive builder footprint while creating new opportunities for Deako products across SKYX hotel and development projects.

Deako has shipped more than 32 million units over the past five years, generated over $26 million in revenue in 2025, and supplies more than 50 U.S. builders. This merger brings together more than 120 patents and pending applications, positioning the combined company to create cost-saving synergies and future recurring revenue opportunities from product upgrades, AI services, monitoring, subscriptions, and licensing. For Texas, a state that is a major hub for real estate development and smart home innovation, this merger could accelerate the adoption of advanced safety and smart technologies in residential and commercial buildings.

Under the agreement, SKYX will issue 25 million common shares as merger consideration, subject to a lockup and leak-out agreement. Current SKYX shareholders are expected to own 84.4% of the post-merger company, while Deako shareholders and its lender will collectively own 15.6%. SKYX will also pay Deako's lender $4 million at closing and issue an $8.5 million note, with $2.25 million due in the first quarter of 2027 and $6.25 million in the fourth quarter.

SKYX's mission is to make homes and buildings safe-advanced and smart as the new standard. The company owns over 100 U.S. and global patents and patent pending applications, along with 60 lighting and home decor websites for both retail and commercial segments. "Our technologies place an emphasis on high quality and ease of use, while significantly enhancing both safety and lifestyle in homes and buildings," the company states. "We believe that our products are a necessity in every room in both homes and other buildings in the U.S. and globally."

The combined entity's expanded portfolio could have significant implications for the construction and smart home industries. With more than 50 U.S. builders already using Deako products, the merger is expected to drive adoption of SKYX's plug-and-play technologies into new residential projects. Additionally, the integration of AI services and recurring revenue models could reshape how builders and developers offer smart home features. For Texas, which leads the nation in new home construction, this merger may lead to more advanced, safe, and smart building standards, benefiting both consumers and industry stakeholders.
