Shelfie-Tech Ltd. (CSE: SHLF) (OTCQB: SHLFF), a technology company focused on shelf inventory management solutions for the retail industry, has amended the terms of its previously disclosed acquisition of a 70% interest in Aspect Information Systems Ltd., according to a press release disseminated on behalf of Shelfie-Tech Ltd. The revised agreement, which is expected to close on or about Nov. 4, 2026, restructures the consideration and financing commitments initially outlined.
Under the amended terms, Shelfie will pay total consideration of approximately $1.58 million to Aspect’s sole shareholder. This consists of approximately $1.23 million in cash and $350,000 through the issuance of 269,231 common shares. The shares will be subject to a statutory hold period of four months and one day. Additionally, Shelfie will provide Aspect with a $595,000 convertible loan, replacing the previously negotiated $850,000 equity investment commitment. The company expects to advance $170,000 at closing and the remaining $425,000 by Jan. 31, 2027. The loan matures on the earlier of Jan. 1, 2031, or the date Aspect’s current shareholder ceases to hold shares, with provisions for repayment, conversion into equity, or extension. Shelfie also agreed to cover $60,000 in transaction-related legal fees and pay a finder’s fee subject to specified limits. The transaction qualifies as a significant acquisition under Canadian securities regulations.
For Texas, the amended deal signals continued investment in retail technology that could benefit the state’s large grocery and supermarket sector. ShelfieTech’s patent-pending robotic shelf monitoring system uses proprietary software with machine learning and image processing algorithms to automatically optimize shelf inventory management. Such innovation may help retailers reduce out-of-stock incidents and improve operational efficiency. The company’s focus on large grocery stores and supermarkets aligns with Texas’s robust retail landscape, where chains constantly seek technology to streamline operations. The revised structure, with a smaller cash outlay and a convertible loan, may provide Shelfie with more financial flexibility while still securing a controlling interest in Aspect. The deal’s closing, expected in late 2026, will be one to watch for those tracking retail tech investment in the state.
