Genesis Holdings, Inc. (OTCID: GNIS) CEO Oscar Brito has released a letter to shareholders detailing significant progress in restructuring the company's balance sheet and outlining growth initiatives, including partnerships and potential acquisitions. The transformation, achieved over six months, aims to position the company for sustainable growth in Texas-focused and broader markets.
Brito emphasized that fixing the company's legacy convertible debt was the top priority. The company renegotiated with noteholders to convert outstanding convertible debt into Series D Preferred Stock, eliminating toxic conversion discounts and variable pricing. This resulted in a pro forma positive stockholders' equity of approximately $901,550 as of June 30, 2026, a roughly $3.0 million swing from a deficit at the end of last year. Brito noted that this is unaudited and final figures may differ, but it represents a foundational shift for the company.
With the balance sheet stabilized, Genesis is now focusing on growth. A key initiative is the partnership with Aurami Capital, a subsidiary of Miami Real Investment (MRI). Through its Travaleo platform, Genesis expects to have two funds in the market by the end of August. The first is a direct offering with Aurami Capital targeting $30 million for branded luxury real estate, supported by roadshows in Latin America. The second involves advanced discussions with a Mexico-based wealth management firm managing approximately $5 billion in assets for a potential fund, though no definitive agreement has been reached.
Genesis also plans to relaunch MetroCrowd, a platform for traditional real estate segments such as single-family homes, multifamily properties, and commercial debt. The relaunch will be paired with an acquisition strategy to acquire profitable, mid-sized property management firms that will serve as operating partners for MetroCrowd. Brito stressed that no definitive agreements have been signed, but the company is actively pursuing opportunities.
These initiatives are also steps toward a national securities exchange listing, which Brito believes will provide access to more cost-effective capital. The company's improved capital structure, fund launches, and operating businesses are building blocks for this goal.

The letter underscores Genesis' commitment to disciplined capital allocation and long-term value creation, with potential impacts on the real estate investment landscape in Texas and beyond.
