A2Z Cust2Mate Completes Acquisition of Hedia, Creating Integrated In-Store Retail Media Platform

A2Z Cust2Mate Solutions Corp. (NASDAQ: AZ), a company transforming in-store retail through its connected commerce platform, has completed its acquisition of Hedia, an Israeli retail media company with fiscal 2025 audited revenue of approximately $20 million. The deal, announced via A2Z Cust2Mate Solutions Corp. (NASDAQ: AZ), combines A2Z’s AI-powered Smart Cart technology, digital in-store retail media inventory, shopper journey data and measurement capabilities with Hedia’s advertiser relationships, sales organization and campaign execution capabilities.

Hedia will continue operating under its existing brand, with Meron Gal remaining CEO and Ofer Gal remaining chairman. A2Z paid approximately $8.4 million in cash and issued 833,333 restricted common shares at closing, with approximately $7 million of the cash consideration expected to be funded through a commercial bank term loan. The sellers are eligible for up to approximately $6.7 million in additional performance-based cash consideration tied to agreed targets for 2027 and 2028. Based on Hedia historical financial results, A2Z estimates Hedia would have contributed approximately $2.3 million in annual adjusted EBITDA. For full details, see the full press release.

By integrating Hedia’s media sales and campaign execution with A2Z’s smart cart platform, the combined company can offer a seamless solution that connects shopper engagement, retail media, data and in-store intelligence. This could accelerate adoption of smart carts and retail media networks, providing retailers with new revenue streams and brands with measurable advertising opportunities.

For Texas businesses, the deal underscores the broader trend of digital transformation in retail, where technology and data are reshaping the in-store experience. Companies in the retail technology space may find new partnership opportunities, while retailers across the state could benefit from more sophisticated tools to enhance customer experience and operational efficiency. The transaction also highlights the ongoing consolidation in the retail media sector, as technology providers seek to offer end-to-end solutions.

A2Z Cust2Mate’s platform combines advanced software, AI, computer vision and purpose-built hardware in a modular design for enterprise-scale deployment. The company works with retailers, brands and partners across multiple markets to bring connected, data-driven personalized experiences to physical stores.
